Terms of Service

1. Acceptance of Terms
By accessing or using the Chief platform ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. Chief is operated by Cairn ("we," "us," or "our").
2. Description of Service
Chief is an AI-powered team management platform. The Service provides:
- A roster of specialized AI Workers (e.g., marketing, operations, customer success, research) that perform tasks on your behalf
- A task and project management system for directing, reviewing, and tracking Worker output
- Real-time chat between you and your AI Workers
- Persistent Worker memory that retains context about your business across sessions
- Integrations with third-party tools (Google Workspace, GitHub, Slack, LinkedIn, Meta Ads, Google Ads, PostHog, and others) that Workers can operate on your behalf
- Scheduled routines that Workers execute automatically
- Document creation, storage, and management
AI Workers are powered by third-party AI models (currently Anthropic's Claude). The quality, accuracy, and completeness of Worker output depends on the underlying AI models and the instructions you provide.
3. User Accounts
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
4. User Content and AI-Generated Content
4.1 Your Content
You retain ownership of all content you create, upload, or provide to the Service ("User Content"), including instructions, messages, documents, and data.
By using the Service, you grant us a limited, non-exclusive license to store, process, transmit, and display your User Content solely to provide and improve the Service — including transmitting your content to AI model providers to generate Worker responses (see Section 8).
You are responsible for ensuring your User Content does not violate any applicable laws or infringe on the rights of others.
4.2 AI-Generated Content
Content produced by AI Workers on your behalf ("Generated Content") is delivered to you for your use. You own the Generated Content subject to any restrictions imposed by the underlying AI model provider (currently Anthropic). We make no claim of ownership over Generated Content.
We do not guarantee that Generated Content is accurate, complete, non-infringing, or fit for any particular purpose. You are responsible for reviewing Generated Content before acting on it or publishing it. AI Workers can and do make mistakes.
5. Third-Party Tool Integrations
The Service allows you to connect third-party accounts and services ("Integrations"). When you connect an Integration:
- You authorize Chief and your AI Workers to access and interact with that third-party service using your credentials
- You are responsible for ensuring you have the right to grant that access
- The third-party service's own terms of service and privacy policy govern that service's handling of your data
- You may revoke Integrations at any time through the platform settings
We store the credentials necessary to operate your authorized Integrations (see our Privacy Policy). We are not responsible for actions taken by AI Workers through Integrations that you have authorized.
6. AI Agent Actions — No Liability for Autonomous Operations
This section is critical. Read it carefully.
The Service enables AI Workers to take autonomous actions on your behalf, including but not limited to: sending emails, posting to social media, executing code, managing advertising campaigns, interacting with third-party APIs, scheduling events, creating or modifying documents, and communicating with third parties.
By using the Service, you expressly acknowledge and agree that:
- You direct all AI Worker actions. AI Workers act as your agents, executing tasks under your authority and at your direction. You are solely responsible for the outcomes of tasks you assign, approve, or permit AI Workers to perform.
- We are not responsible for AI Worker outputs or actions. Cairn shall have no liability whatsoever for any action taken by an AI Worker, including actions that are erroneous, incomplete, unauthorized by a third party, or that cause harm to you, your business, or any third party.
- You bear all risk of autonomous operations. You assume full responsibility for any consequences arising from AI Workers operating autonomously, including scheduled routines that run without real-time human supervision.
- Third-party consequences are your responsibility. If an AI Worker takes an action through an Integration that violates a third party's terms of service, causes financial loss, damages a business relationship, or results in any other harm, you bear sole responsibility for that outcome.
- No warranty on judgment. AI Workers exercise no human judgment. They may act on misunderstood instructions, incomplete context, or AI model errors. We make no warranty that AI Workers will exercise appropriate discretion in any situation.
Nothing in these Terms limits Cairn's right to restrict or terminate AI Worker access to Integrations or features at any time.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Use the Service to generate or distribute spam, malware, or deceptive content
- Attempt to gain unauthorized access to the Service, its systems, or other users' accounts
- Interfere with or disrupt the Service or its infrastructure
- Use the Service to harass, abuse, or harm others
- Attempt to reverse-engineer, decompile, or extract source code from the Service
- Use the Service to infringe on the intellectual property rights of others
- Resell, sublicense, or redistribute the Service without our written consent
- Use the Service to train competing AI models or products without our written consent
- Direct AI Workers to take actions that violate applicable law or the rights of third parties
We reserve the right to suspend or terminate accounts that violate these policies.
8. AI Models and Third-Party Providers
The Service relies on third-party AI model providers — currently Anthropic (Claude) — to power AI Worker responses. By using the Service:
- You acknowledge that your messages, task content, and relevant context will be transmitted to Anthropic to generate responses
- You agree to comply with Anthropic's usage policies as they apply to end users
- You acknowledge that AI output may be inaccurate, incomplete, or inappropriate, and that you bear responsibility for reviewing and approving content before use
9. Payment and Subscription
Access to the Service may require a paid subscription. Subscription terms, pricing, and billing cycles are presented at the time of purchase or as agreed in your service agreement with us.
- Subscriptions automatically renew unless cancelled before the renewal date
- Fees are non-refundable except as required by law or as stated in your service agreement
- We reserve the right to change pricing with reasonable advance notice
- Failure to pay may result in suspension or termination of your account
10. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information, including how your data is transmitted to AI model providers.
11. Intellectual Property
The Service — including its design, code, features, Worker configurations, and documentation — is owned by Cairn and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use the Chief name, logo, or trademarks without our prior written consent.
12. Service Availability and Modifications
We strive to maintain Service availability but do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to maintenance, updates, AI provider outages, or circumstances beyond our control.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice where practical.
13. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that AI Worker output will be accurate, complete, or suitable for your intended use. We do not warrant that AI Workers will exercise appropriate judgment, avoid errors, or take actions consistent with your expectations or intentions. You assume all risk associated with your use of AI-generated content and AI Worker actions.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Cairn and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including without limitation:
- Damages arising from AI Worker errors, omissions, or autonomous actions
- Damages arising from AI Worker actions taken through integrations you authorized
- Financial losses caused by AI Worker decisions or outputs
- Harm to third-party relationships or reputational harm caused by AI Worker actions
- Integration failures or data loss
- Any consequential harm arising from scheduled or automated routines
Our total liability for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred dollars ($100).
15. Indemnification
You agree to indemnify, defend, and hold harmless Cairn and its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Actions taken by AI Workers through Integrations you authorized
- Any third-party claim arising from an AI Worker action taken on your behalf
- Your direction of AI Workers to take any action that causes harm to a third party
This indemnification obligation survives termination of these Terms and your use of the Service.
16. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may stop using the Service at any time.
Upon termination:
- Your right to access and use the Service ceases
- You retain ownership of your User Content and Generated Content
- We will make reasonable efforts to allow you to export your data for 30 days following termination
- Provisions that by their nature should survive termination (including Sections 4, 6, 13, 14, 15, and 17) will survive
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties. If unresolved after 30 days of good-faith negotiation, disputes shall be resolved by litigation in the state or federal courts located in Delaware, and each party consents to personal jurisdiction in those courts.
18. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Service or sending you an email at least 14 days before changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
